made between you, whether personally or on behalf of an entity (“you”)
and J. Houston Properties ("Company," “we," “us," or “our”), concerning

If the Parties are unable to resolve a Dispute through informal
negotiations, the Dispute (except those Disputes expressly excluded
below) will be finally and exclusively resolved by binding arbitration.
YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD
HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The
arbitration shall be commenced and conducted under the Commercial
Arbitration Rules of the American Arbitration Association ("AAA") and,
where appropriate, the AAA’s Supplementary Procedures for Consumer
Related Disputes ("AAA Consumer Rules"), both of which are available
at the AAA website www.adr.org. Each Party will be responsible for their
own costs associated with the arbitration process.
11. Corrections
There may be information on the Site that contains typographical errors,
inaccuracies, or omissions that may relate to the Site, including
descriptions, pricing, availability, and various other information. We
reserve the right to correct any errors, inaccuracies, or omissions and to
change or update the information on the Site at any time, without prior
notice.
12. Indemnification
You agree to indemnify, defend, and hold harmless J. Houston
Properties, its officers, directors, employees, agents, and third parties,
for any losses, costs, liabilities, and expenses (including reasonable
attorney's fees) relating to or arising out of your use of or inability to use
the Site, any user postings made by you, your violation of any terms of
this Agreement or your violation of any rights of a third party, or your
violation of any applicable laws, rules or regulations. J. Houston
Properties reserves the right, at its own cost, to assume the exclusive
defense and control of any matter otherwise subject to indemnification
by you, in which event you will fully cooperate with J. Houston
Properties in asserting any available defenses.
13. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will J.
Houston Properties, its affiliates, or their respective officers, directors,
employees, agents, suppliers, or licensors be liable for any indirect,
incidental, special, punitive, cover, or consequential damages (including,
without limitation, damages for loss of profits, revenue, sales, goodwill,
use of content, impact on business, business interruption, loss of
anticipated savings, loss of business opportunity) however caused,
under any theory of liability, including, without limitation, contract, tort,
warranty, breach of statutory duty, negligence or otherwise, even if J.
Houston Properties has been advised as to the possibility of such
damages or could have foreseen such damages. To the maximum extent
permitted by applicable law, the aggregate liability of J. Houston
Properties and its affiliates and officers, directors, employees, agents,
suppliers, and licensors relating to the services will be limited to an
amount of $100. The limitations and exclusions also apply if this remedy
does not fully compensate you for any losses or fails of its essential
purpose.
14. Entire Agreement
These Terms and Conditions constitute the entire agreement between
you and J. Houston Properties regarding the use of the Site and
supersede any prior agreements or understandings, whether written or
oral, relating to such subject matter.
